What This Means (2024 FDD)

According to Endless Summer Sweets's 2024 Franchise Disclosure Document, the post-term non-compete agreement extends to other Endless Summer Sweets locations. Specifically, for two years after the franchise agreement expires or is terminated, the franchisee is restricted from involvement with any competitor within a 25-mile radius of their former Endless Summer Sweets location or any other Endless Summer Sweets location. This restriction applies regardless of whether the other location is owned by the franchisor or another franchisee.

This non-compete clause prevents a former franchisee from leveraging knowledge gained while operating an Endless Summer Sweets business to benefit a competing business, potentially drawing customers away from existing Endless Summer Sweets locations. The agreement specifies that the 25-mile radius and two-year period are deemed reasonable to protect the franchisor's interests. The non-compete duration does not accrue during any period the franchisee is in violation of the covenant.

If the franchise agreement is terminated before a defined territory is established, the non-competition area will default to the Development Area and the territory of any other Endless Summer Sweets business operating when the agreement was terminated. This ensures that even without a specific territory, the franchisee is still bound by the non-compete obligations to protect Endless Summer Sweets's market presence.

It's important for prospective franchisees to understand the full scope of these restrictions, as they could significantly impact their ability to engage in similar business ventures after leaving the Endless Summer Sweets system. Franchisees should carefully consider the implications of the non-compete, especially if they plan to remain in the same geographic area after the franchise agreement ends.
