What This Means (2024 FDD)

According to Endless Summer Sweets's 2024 Franchise Disclosure Document, franchisees may be required to sign a general release in certain circumstances, which includes a covenant not to sue. This release and covenant not to sue extends to Endless Summer Sweets Franchising, Inc., its affiliates, and their respective directors, officers, shareholders, employees, and agents.

The General Release specifies that the franchisee, on behalf of itself and related parties, agrees not to initiate or participate in any civil, criminal, or administrative proceeding against Endless Summer Sweets. This includes a waiver of all claims and causes of action arising out of events through the date of the release, potentially encompassing matters related to the Franchise Agreement.

This means that under certain conditions, such as a franchise renewal or the approval of a franchise sale, an Endless Summer Sweets franchisee may be asked to sign a document that prevents them from participating in lawsuits against the franchisor. This could limit a franchisee's legal options in the event of a dispute with Endless Summer Sweets.

Prospective franchisees should carefully review the circumstances under which this release is required and understand the full implications of waiving their right to sue or participate in legal proceedings against Endless Summer Sweets.
