What This Means (2024 FDD)
According to Endless Summer Sweets' 2024 Franchise Disclosure Document, a franchisee's commitment to develop Endless Summer Sweets businesses is outlined in the Multi-Unit Development Agreement (MUDA). This agreement stipulates that the franchisee must adhere to a specific development schedule for opening multiple Endless Summer Sweets businesses. The franchisee is responsible for locating each Endless Summer Sweets business within a defined Development Area, and they are granted exclusive rights to develop, open, and operate businesses within this area while the MUDA is in effect.
Endless Summer Sweets may terminate the MUDA if the franchisee fails to meet the development schedule or if the franchisor has the right to terminate any other franchise agreement with the franchisee due to default. However, the document states that the franchisee's commitment is "in the nature of an option only." If Endless Summer Sweets terminates the MUDA due to the franchisee's default, the franchisee will not be liable for lost future revenues or profits from unopened Endless Summer Sweets businesses.
The franchisee's right to develop each Endless Summer Sweets franchise after the initial one is conditional. The franchisee must demonstrate sufficient financial and organizational capacity to develop, open, operate, and manage each additional business, as judged by Endless Summer Sweets. Additionally, the franchisee must be in full compliance with all brand requirements at its open and operating Endless Summer Sweets businesses and not be in default under any Franchise Agreement or other agreement with Endless Summer Sweets. The MUDA is governed by the laws of California, and the franchisee cannot transfer the MUDA without the prior written consent of Endless Summer Sweets.
