If I sign a franchise agreement with Endless Summer Sweets, what am I expected to do?

If you sign a franchise agreement with us, you will develop and operate a themed restaurant created to revive the kid in you, bringing back memories of the neighborhood fairs with family and friends. We commit to using local ingredients, whenever possible, and offer fun, fair food, at its finest. If you sign a Multi-Unit Development Agreement you will develop multiple Endless Summer Sweets restaurant outlets, on an agreed-upon schedule. Our form of Multi-Unit Development Agreement is attached as Exhibit C to this disclosure document. For each franchise after the first, we will require you to sign our then-current form of franchise agreement, which may be different from the form of franchise agreement included in this disclosure document.
Your franchised restaurant(s) will use a system we developed. Distinguishing characteristics of our system include distinctive exterior and interior layout, design and color scheme; signage, decor, furnishings and materials; special recipes, menus and food and beverage designations; our confidential operations manual, preparation and service procedures and techniques; advertising, operating procedures and other aspects of the restaurant. We can change elements of the system.

According to the 2024 Endless Summer Sweets FDD, if you sign a franchise agreement, you are expected to develop and operate a themed restaurant. This restaurant is designed to evoke memories of neighborhood fairs, offering a nostalgic experience for customers. Endless Summer Sweets emphasizes the use of local ingredients whenever possible, aiming to provide high-quality, fun, fair food. The franchise agreement grants you the right to operate one Endless Summer Sweets business solely at an approved location for the duration of the agreement.
Your franchised restaurant must adhere to the Endless Summer Sweets system, which includes distinctive exterior and interior designs, specific signage, decor, furnishings, and materials, as well as special recipes, menus, and food and beverage designations. You will also be required to follow the confidential operations manual, preparation and service procedures, and techniques provided by Endless Summer Sweets. The system also encompasses advertising and other operating procedures, all of which contribute to the unique identity of the restaurant. Note that Endless Summer Sweets retains the right to change elements of the system.
Endless Summer Sweets also grants a territory, the specifics of which are outlined in the Location Acceptance Letter. Within this territory, Endless Summer Sweets will not establish or license another business selling similar goods or services under the same trademarks. However, Endless Summer Sweets retains the right to operate or license businesses outside your territory, even if they are nearby, and can sell products and services within your territory through other channels, such as the internet. You are expected to designate a Principal Executive who will be primarily responsible for the business and have decision-making authority.
If you are interested in developing multiple Endless Summer Sweets restaurant outlets, you can sign a Multi-Unit Development Agreement (MUDA). This agreement allows you to develop additional outlets according to an agreed-upon schedule, provided you meet certain conditions, including compliance with the development schedule, sufficient financial and organizational capacity, adherence to brand requirements, and compliance with all agreements with Endless Summer Sweets. Note that Endless Summer Sweets must approve the location of future sites and territories, and their then-current standards will apply. You are not obligated to develop additional outlets under the MUDA and can terminate it at any time without penalty, but failure to meet the development schedule may result in the termination of your right to develop additional outlets.
