What This Means (2024 FDD)
According to Endless Summer Sweets's 2024 Franchise Disclosure Document, if a franchisee's lease is terminated due to default, Endless Summer Sweets has the option to enter into a new lease with the landlord under the same terms as the original lease. To exercise this option, Endless Summer Sweets must notify the landlord within 15 days after receiving notice of the lease termination. Additionally, if the Franchise Agreement between Endless Summer Sweets and the franchisee is terminated during the lease term, the franchisee must assign the lease to Endless Summer Sweets upon their written request, a condition to which the landlord consents.
This arrangement provides Endless Summer Sweets with a mechanism to maintain control over the location of a franchise, even if the original franchisee loses possession. By stepping in to assume the lease, Endless Summer Sweets can ensure the continued operation of an outlet in that location, either by operating it themselves or assigning the lease to another franchisee. This protects the brand's presence in the market and prevents a competitor from occupying the space.
Furthermore, the lease agreement stipulates that the landlord must provide Endless Summer Sweets with copies of any default notices issued to the franchisee, granting Endless Summer Sweets the option to cure the default within ten days after the franchisee's cure period expires. This allows Endless Summer Sweets to prevent lease termination by addressing any issues, such as unpaid rent, before they escalate.
These provisions in the lease agreement and franchise agreement are designed to safeguard Endless Summer Sweets's interests and ensure the stability of its franchise network. By retaining the right to take over a lease, Endless Summer Sweets mitigates the risk of losing valuable locations and maintains its ability to expand and support its brand.
