What This Means (2024 FDD)
According to the 2024 Endless Summer Sweets Franchise Disclosure Document, Endless Summer Sweets does not assume liability for the franchisee's obligations as a tenant under a lease. Specifically, if a franchisee leases a location, the franchisee is responsible for complying with the lease terms and making all rent payments when due. Furthermore, the franchisee is obligated to pay all taxes when due and comply with the terms of any loans they secure, ensuring all loan payments are made on time. This indicates that Endless Summer Sweets franchisees operate as independent entities responsible for their own financial and legal obligations.
Endless Summer Sweets requires franchisees to identify themselves as independent owners of their businesses, using signage prescribed by the franchisor to clearly indicate this independent ownership. This reinforces the separation between the franchisor and franchisee in the eyes of customers and other third parties. Franchisees are expected to manage their business operations and finances responsibly, without direct interference or liability assumed by Endless Summer Sweets.
However, in the event of a lease default, the landlord is required to provide Endless Summer Sweets with copies of any default notices given to the franchisee, and Endless Summer Sweets has the option, but not the obligation, to cure the default within ten days after the franchisee's cure period expires. If the lease is terminated due to the franchisee's default, Endless Summer Sweets has the option to enter into a new lease with the landlord under the same terms. Additionally, if the Franchise Agreement is terminated, the franchisee must assign the lease to Endless Summer Sweets upon their written request, with the landlord's consent. While these provisions allow Endless Summer Sweets to potentially take over a lease, they do not create a general liability for the franchisee's obligations to the landlord or other third parties.
