What This Means (2024 FDD)
According to the 2024 Endless Summer Sweets FDD, the 'Development Area' in a Multi-Unit Development Agreement (MUDA) refers to a specific geographic area where the franchisee is required to locate each Endless Summer Sweets business they develop under the MUDA. Within this designated Development Area, the franchisee is granted exclusive rights to develop, open, and operate Endless Summer Sweets businesses, as long as the MUDA remains in effect.
This exclusivity means that Endless Summer Sweets will not authorize other franchisees or open company-owned stores within the Development Area during the term of the MUDA. This provides the multi-unit franchisee with a degree of market protection and the opportunity to establish a strong presence in the area without direct competition from other Endless Summer Sweets outlets. The specific boundaries and characteristics of the Development Area are crucial for the franchisee's business plan and potential for growth.
It's important to note that the MUDA can be terminated by Endless Summer Sweets if the franchisee fails to meet the agreed-upon development schedule or if any franchise agreement between Endless Summer Sweets and the franchisee is terminated due to the franchisee's default. However, if Endless Summer Sweets terminates the MUDA due to the franchisee's default, the franchisee will not be liable for lost future revenues or profits from unopened Endless Summer Sweets businesses. The franchisee's right to develop additional Endless Summer Sweets franchises after the first one is contingent upon having sufficient financial and organizational capacity and being in full compliance with all brand requirements at their existing Endless Summer Sweets businesses.
