Who is considered an 'Owner' in the context of an Endless Summer Sweets franchise?
Endless_Summer_Sweets Franchise · 2024 FDDAnswer from 2024 FDD Document
- "Transfer" means for Franchisee (or any Owner) to voluntarily or involuntarily transfer, sell, or dispose of, in any single or series of transactions, (i) substantially all of the assets of the Business, (ii) this Agreement, (iii) any direct or indirect ownership interest in the Business, or (iv) control of the Business.
13.2 Covenants Not to Compete.
- (a) Restriction In Term. During the term of this Agreement, neither Franchisee, any Owner, nor any spouse of an Owner (the "Restricted Parties or "Restricted Party") shall directly or indirectly have any ownership interest in, lend money or provide financial assistance to, provide any services to, or be employed by, any Competitor.
- (b) Restriction Post Term. For two years after this Agreement expires or is terminated for any reason or, where applicable, for two years after a Transfer, no Restricted Party shall directly or indirectly operate, have any ownership interest in, lend money or provide financial assistance to, provide any services to, or be employed by, any Competitor which is located at the premises upon which the Endless Summer Sweets is or was located or is located or within a twenty-five (25) mile radius of the Franchisee's location or any other Endless Summer Sweets location, whether owned by Franchisor or another Franchisee.

What This Means (2024 FDD)
According to Endless Summer Sweets' 2024 Franchise Disclosure Document, the term 'Owner' is referenced within the context of transfer restrictions and non-compete agreements. Specifically, the FDD states that 'Owner' refers to any individual or entity that voluntarily or involuntarily transfers, sells, or disposes of any direct or indirect ownership interest in the Endless Summer Sweets business.
This definition is crucial because it broadens the scope of restrictions placed not only on the franchisee but also on anyone holding an ownership stake in the franchise. This includes covenants not to compete, both during the term of the agreement and for a period of two years after the agreement expires or is terminated. These restrictions apply to the 'Owner' and their spouse, preventing them from engaging with any competitor within a 25-mile radius of the Endless Summer Sweets location.
For a prospective franchisee, this means that if you have partners, investors, or family members with ownership interests, they too will be bound by the non-compete clauses. It is important to fully disclose all owners and their interests to Endless Summer Sweets and ensure they understand the implications of these restrictions. This could affect their ability to be involved in similar businesses, even passively, and should be carefully considered before entering into a franchise agreement.
