What This Means (2024 FDD)
According to the 2024 Endless Summer Sweets Franchise Disclosure Document, a tenant, who is also a franchisee, has the right to assign or sublet their lease to Endless Summer Sweets. However, this right is conditional. The assignment or sublease must not relieve the tenant or any guarantor of their liability under the lease.
This provision protects the landlord by ensuring that the original tenant remains responsible for the lease obligations even if Endless Summer Sweets takes over the premises. For a prospective Endless Summer Sweets franchisee, this means that even if the franchise agreement is terminated and the lease is assigned back to the franchisor, the franchisee may still be liable for rent and other lease obligations.
Furthermore, if Endless Summer Sweets becomes the lessee, they have the right to assign or sublease the lease to another Endless Summer Sweets franchisee. Additionally, any lease provision limiting the tenant's right to own or operate other Endless Summer Sweets outlets near the leased premises does not apply to the franchisor. This clause provides Endless Summer Sweets with greater flexibility in managing its franchise locations and allows them to potentially operate multiple locations in the same area without being restricted by the original lease agreement.
