Can HSS increase or decrease the Maintenance Fees for Embassy Suites By Hilton?

HSS reserves the right to increase or decrease the Software Maintenance cost on an annual basis to reflect increases or decreases in such cost internally and from the Preferred Providers of such services and to reflect the addition or construction of additional guest rooms
SCHEDULE B-1 AUTHORIZED EQUIPMENT
The term Authorized Equipment includes (i) the equipment needed by Customer at Customer's hotel, as determined solely by HSS, for the Customer's use of the Proprietary Software (the "Network Authorized Equipment") (ii) and any additional equipment authorized by HSS for use at Customer's hotel, over and above the Network Authorized Equipment (the "Standard Plus Equipment").

What This Means (2025 FDD)
According to the 2025 Embassy Suites By Hilton Franchise Disclosure Document, HSS has the right to adjust the Proprietary Software Maintenance costs annually to reflect changes in their expenses or those of their Preferred Providers. These adjustments can also account for any additions or construction of new guest rooms at the Embassy Suites By Hilton hotel. Additionally, HSS can increase or decrease the Equipment Maintenance cost on an annual basis.
However, HSS will not charge the Embassy Suites By Hilton franchisee Maintenance Fees that are greater than the Maintenance Fees charged to any similarly situated Customer (based upon factors determined by HSS in its sole judgment) utilizing equipment substantially similar to the Authorized Equipment and pursuant to an agreement which has terms and conditions substantially similar to this Agreement.
Furthermore, if certain Authorized Equipment or parts are no longer manufactured or easily obtainable, HSS or the Preferred Provider will inform the Embassy Suites By Hilton franchisee, and maintenance for that equipment will cease to be available, and the franchisee will no longer be charged for its maintenance.
