Are there any circumstances under which Embassy Suites customers will not be charged Maintenance Fees?

No maintenance fees will be charged to Customer for any Non-maintained Equipment as described in Section 1 above.
When certain Authorized Equipment or parts for certain Authorized Equipment are no longer being manufactured or reasonably obtainable, HSS or the Preferred Provider will notify Customer of such circumstance and maintenance on such Authorized Equipment will no longer be available. After such notice, Customer will no longer be charged for maintenance on such Authorized Equipment.

What This Means (2025 FDD)
According to Embassy Suites' 2025 Franchise Disclosure Document, customers will not be charged maintenance fees for Non-maintained Equipment. This means that if an Embassy Suites franchisee and HSS agree in writing that certain pieces of Authorized Equipment used with the Information System will not be maintained under the standard maintenance agreement, then the franchisee will not be charged maintenance fees for that specific equipment. Neither HSS nor the Preferred Provider will be responsible for any maintenance or support of Non-maintained Equipment.
Additionally, Embassy Suites franchisees will no longer be charged for maintenance on Authorized Equipment if HSS or the Preferred Provider notifies the customer that certain Authorized Equipment or parts are no longer being manufactured or reasonably obtainable, and therefore maintenance is no longer available.
This could benefit a franchisee by reducing operating costs if they opt out of maintenance for certain equipment or if equipment becomes obsolete. However, it also places the responsibility on the franchisee to ensure that Non-maintained Equipment is properly supported and functioning, potentially requiring them to find alternative maintenance solutions or replace the equipment at their own expense.
