What This Means (2025 FDD)

According to the 2025 Embassy Suites Franchise Disclosure Document, the initial notice address for the franchisee's Principal Legal Correspondent (PLC) is specified in the Addendum to the Franchise Agreement. The franchisee must designate a single person as their PLC to issue and receive notices. This PLC's notice address cannot be a P.O. Box and cannot be the same as the hotel address. If the franchisee wants to change the designated PLC, address, or email, they can do so by sending a notice to Embassy Suites as directed by the franchisor.

For notices regarding default, termination, or threatened litigation, Embassy Suites will only send these to the franchisee's PLC. The franchisee, in turn, must send such notices to Hilton Franchise Holding LLC at a specified address in McLean, VA. Other notices can be sent via various methods, including email, to addresses designated by each party. Embassy Suites may send these other notices to the email address designated for the franchisee's PLC or to other designated persons.

The requirement for a PLC ensures that there is a clear and reliable point of contact for all legal and official communications between Embassy Suites and its franchisees. Specifying the initial address in the Addendum and prohibiting P.O. Boxes helps ensure that important notices are properly delivered and received. The ability to change the PLC and contact information provides flexibility for the franchisee while maintaining a structured communication process.
