What This Means (2025 FDD)
According to Embassy Suites's 2025 Franchise Disclosure Document, if Embassy Suites decides to modify or discontinue the use of any current or future copyright, the franchisee must comply with Embassy Suites's instructions. Embassy Suites is not obligated to reimburse the franchisee for any costs, expenses, or damages incurred as a result of these changes.
This means that Embassy Suites has the right to change the copyrighted materials that franchisees use, and franchisees are obligated to implement those changes. This could include things like logos, marketing materials, or software. The franchisee bears the financial burden of implementing these changes, which could involve reprinting materials, updating signage, or retraining staff.
This type of clause is fairly common in franchise agreements, as it allows the franchisor to maintain brand consistency and adapt to changing market conditions or legal requirements. However, it's important for prospective Embassy Suites franchisees to understand that they may be required to make changes to their business at their own expense if Embassy Suites decides to modify or discontinue the use of any copyright.
