Answer from 2025 FDD Document

  • B. The first monthly payment will be invoiced in advance of the shipment date to the Hotel (the date of shipment being the "Start Date") of the Authorized Equipment purchased which will operate Proprietary Software to be maintained. For the avoidance of doubt, HSS has no obligation to provide Customer with maintenance, support or Help Desk services for any Certified Third Party Software; maintenance support and services for Certified Third Party Software is to be provided by the applicable Preferred Provider pursuant to the applicable Master Agreement. The Proprietary Software and PEP maintenance and support offered by HSS is described in Schedule A.

What This Means (2025 FDD)

According to Embassy Suites's 2025 Franchise Disclosure Document, the first monthly payment for Proprietary Software Maintenance is invoiced in advance of the shipment date to the Hotel. This shipment date is referred to as the "Start Date" of the agreement.

This means that as an Embassy Suites franchisee, you will receive an invoice for the first month's software maintenance fees before the equipment and software are physically delivered to your hotel. This policy ensures that Embassy Suites receives payment upfront for the maintenance services they will be providing.

It is important to note that HSS (the software maintenance provider) is not obligated to provide maintenance, support, or Help Desk services for any Certified Third Party Software. Maintenance support and services for Certified Third Party Software are to be provided by the applicable Preferred Provider under a separate agreement. Therefore, as a franchisee, you should ensure you understand the distinction between Proprietary Software and Certified Third Party Software and the corresponding maintenance responsibilities and costs.
