What This Means (2025 FDD)
According to Embassy Suites's 2025 Franchise Disclosure Document, the Construction Commencement Date for your hotel can be found in the Addendum to the franchise agreement. Specifically, for certain brands like Embassy Suites, the Construction Commencement Date is due sixteen (16) months from the Effective Date of the agreement. The Effective Date itself is also defined as the date set out in the Addendum on which the agreement becomes effective.
The FDD also clarifies that 'Construction Commencement Date' means the date set out in the Addendum, if applicable, by which you must commence construction of the Hotel. To be considered under construction, you must have begun to pour concrete foundations for the Hotel or otherwise satisfied any site-specific criteria for 'under construction' set out in the Addendum.
Furthermore, Embassy Suites requires you to commence the Hotel Work on or before the Construction Commencement Date specified in the Addendum or any PIP (Property Improvement Plan). You must also provide satisfactory evidence to Embassy Suites that the Construction Work has commenced. It's important to note that the Construction Commencement Date specified in the Addendum or any PIP can be automatically extended by thirty (30) days on a rolling basis, unless Embassy Suites provides at least sixty (60) days' notice that these automatic extensions no longer apply. Any further extension requires Embassy Suites's approval, which may be subject to fees, project status reports, and other conditions.
