What This Means (2025 FDD)
According to Embassy Suites's 2025 Franchise Disclosure Document, as of December 31, 2024, there were 188 Franchisee-Managed hotels out of 220 Comparable Hotels. The FDD defines "Comparable Hotels" as those that meet specific criteria, including being active and operating in the system for at least one full calendar year, not undergoing changes in brand or ownership, not sustaining substantial property damage, not undergoing large-scale capital projects, not removing or adding a substantial number of guest rooms, and having comparable results available.
The FDD also specifies that "Franchisee-Managed" hotels are those that are franchised and managed either by the franchisee directly or by a non-Hilton Worldwide management company retained by the franchisee. This distinction is important for prospective franchisees to understand, as the performance data presented in Item 19 is segmented based on whether the hotels are Company-Managed or Franchisee-Managed.
This information is useful for potential Embassy Suites franchisees as it provides a snapshot of the management structure of existing hotels within the system. Knowing the number of Franchisee-Managed hotels can help a prospective franchisee gauge the prevalence and potential success of franchisee-managed operations within the Embassy Suites brand. It also allows them to compare the performance of Franchisee-Managed hotels against Company-Managed hotels, as presented in other parts of Item 19, to better understand potential financial outcomes.
