What This Means (2025 FDD)
According to Embassy Suites's 2025 Franchise Disclosure Document, the applicant must ensure that all information provided in the franchise application is truthful, correct, and complete as of the application date. Furthermore, the applicant is obligated to promptly inform the franchisor, Hilton Franchise Holding LLC, of any changes to the information initially provided. This requirement ensures that Embassy Suites has accurate and up-to-date information about potential franchisees throughout the application process.
This obligation extends to the applicant's authority to make the application and enter into a franchise agreement, ensuring that doing so does not conflict with any existing agreements or put the applicant in breach of any terms. The applicant also acknowledges that they were not induced by Hilton Worldwide to terminate or breach any agreement related to the proposed hotel location.
Embassy Suites emphasizes the importance of written agreements, stating that Hilton Worldwide does not enter into oral agreements or understandings regarding the Franchise Agreement. Therefore, as of the application date, any agreements must be documented in writing. This protects both the applicant and Embassy Suites by ensuring clarity and preventing misunderstandings regarding the terms of the franchise relationship.
