What This Means (2024 FDD)
According to Ella Cafe's 2024 Franchise Disclosure Document, when Ella Cafe owns a business within a Market Cooperative, it has the same voting rights as its franchisees. Each business owner, including both Ella Cafe and its franchisees, is entitled to one vote for each business they own. However, a franchisee is not allowed to vote if they are in default under their franchise agreement.
This parity in voting rights ensures that Ella Cafe's corporate-owned stores do not have disproportionate influence over the decisions of the Market Cooperative compared to individual franchisees. This structure aims to create a fair environment where all business owners within the cooperative have an equal say in matters affecting the cooperative's activities. The Market Cooperative is focused on regional advertising and marketing programs, as well as developing standardized promotional materials, subject to Ella Cafe's approval.
However, Ella Cafe retains significant control over the Market Cooperative. Ella Cafe is entitled to attend and participate in any meeting of a Market Cooperative. If the members of a Market Cooperative cannot agree on how to spend the cooperative's funds, Ella Cafe can take over the decision-making authority after providing 10 days' notice to the members. Furthermore, Ella Cafe has the right to enforce the obligations of franchisees to contribute to the Market Cooperative and can terminate any Market Cooperative. These provisions highlight Ella Cafe's oversight role in ensuring the cooperative functions in alignment with the brand's overall marketing and advertising strategies.
Prospective franchisees should be aware that while they have voting rights in the Market Cooperative, Ella Cafe ultimately has the power to make key decisions and enforce compliance. This balance of power is typical in franchise systems, where the franchisor maintains control to ensure brand consistency and protect the overall interests of the franchise system.
