What This Means (2024 FDD)

According to Ella Cafe's 2024 Franchise Disclosure Document, the obligations of the Principal under the Principal's Undertaking are independent of the obligations of the Franchisee. This means that Ella Cafe can pursue legal action directly against the Principal, regardless of whether any action is taken against the Franchisee.

This provision allows Ella Cafe to seek recourse from the Principal directly, without needing to involve the Franchisee in the legal proceedings. This could be beneficial to Ella Cafe in situations where the Franchisee is unable to fulfill their obligations or is otherwise difficult to pursue legally. It also allows Ella Cafe to pursue the Principal even if the Franchisee is not joined in the action.

For a prospective Ella Cafe franchisee, this means that if a Principal is required to sign a Principal's Undertaking, that Principal is taking on a direct and independent liability to Ella Cafe. The Principal cannot assume that they are protected by the Franchisee's business structure. The Principal should carefully consider the obligations they are undertaking and seek legal advice if necessary.

The Principal's Undertaking is governed by Florida law, irrespective of conflict of law principles. This undertaking is also enforceable against the administrators, executors, successors, and assigns of the Principal, and the death of any Principal does not terminate their liability or limit the liability of other Principals.
