Under the Ella Cafe Personal Guaranty, how can I change my address for receiving notices?

Ella_Cafe Franchise · 2024 FDD

Answer from 2024 FDD Document

I agree that any notices required to be delivered to me will be deemed conclusively made (a) at the time of delivery, if personal delivery is used; (b) 24 hours (exclusive of weekends and national holidays) after deposit in the United States mail, properly addressed and postage prepaid, if delivered by overnight delivery; and/or (c) upon the earlier of actual receipt or three calendar days after deposit in the United States mail, properly addressed and postage prepaid, return receipt requested, if served by certified mail. Notices and demands will be given to the respective parties at the addresses set forth in the signature blocks below, unless and until a different address has been designated by written notice to Franchisor. I may change this address only by delivering to Franchisor written notice of the change.

What This Means (2024 FDD)

According to Ella Cafe's 2024 Franchise Disclosure Document, if you've signed a Personal Guaranty, you can change your address for receiving notices. To do so, you must provide written notice of the address change to Ella Cafe. The notices and demands are sent to the addresses in the signature blocks, unless a different address is designated through written notice to Ella Cafe.

This means that if you move or prefer to receive official communication at a different location than the one initially provided, you need to inform Ella Cafe in writing. This ensures that you continue to receive important notices and updates related to your franchise agreement and any legal matters.

It is important to keep a record of the written notice you send to Ella Cafe, including the date it was sent and confirmation of receipt, if possible. This documentation can be useful in case there is ever a question about whether Ella Cafe was properly notified of your address change.
