To simplify the language in this disclosure document, "we", "us," and "our" refer to Ella Coffee Company, LLC, the franchisor. "You" and "your" mean the person who buys the franchise. If you are a corporation, limited liability company, or other entity, each owner of the franchise entity must sign our Guaranty and Non-Compete Agreement, which means that all of the franchise agreement's provisions also will apply to your owners.
The Franchisor and Any Parents, Predecessors, and Affiliates
We are a limited liability company formed under the laws of the State of Delaware in May 2022. We maintain our principal business address at 9743 W. Broward Blvd., Plantation, Florida 33324. We do not have any parent entities or predecessors. We have been offering ELLA COFFEE HOUSE franchises since July 1, 2022. We do not have any affiliates that offer franchises in any line of business or provide products or services to our franchisees. We do business only under our corporate name, "Ella Coffee Company, LLC" and under the trade name and service mark "ELLA" and "ELLA COFFEE HOUSE". We do not intend to use any other names to conduct business. Our agents for service of process are identified in Exhibit A to this disclosure document.
Our affiliate Ella Café, Inc., a Florida corporation, shares our principal business address to operate an Ella Coffee House at 9743 W Broward Blvd, Plantation, FL 33324. In 2023, Ella Café, Inc. opened a second Ella Coffee House at 3890 Davie Rd., Davie Florida 33314.
Our affiliate Cool Coffee Holdings, LLC, a Delaware limited liability company, was incorporated on June 23, 2014. Cool Coffee Holdings, LLC licenses to us the trademarks we sublicense to you for your use in your ELLA COFFEE HOUSE Franchise Business.
We do not operate businesses of the type being franchised. We have not offered franchises in other lines of business. None of our affiliates have offered franchises in other lines of business. None of our affiliates provide products or services to our franchisees.
