If you use our trademarks in accordance with the franchise agreement, then at our discretion (i) we may defend you (at our expense) against any legal action by a third-party alleging infringement by your use of the trademark, (ii) indemnify you for expenses and damages if the legal action is resolved unfavorably to you or (iii)if necessary in our sole discretion, discontinue, modify, or substitute your use of any Mark which you must comply with at your own expense.

What This Means (2024 FDD)
According to Ella Cafe's 2024 Franchise Disclosure Document, Ella Cafe may indemnify a franchisee for expenses and damages related to trademark infringement if the franchisee uses Ella Cafe's trademarks in accordance with the franchise agreement.
