nditures for changes or upgrades to the System shall be in addition to expenditures for repairs and maintenance as required in Section 7.13 of this Agreement. Notwithstanding the foregoing, Franchisee shall be required to make any and all improvements or modifications whenever such are required by law, regulation, agency decision or court order. Additionally, Franchisor reserves the right, in its sole discretion, to vary the standards throughout the System, as well as the services and assistance that Franchisor may provide to some franchisees based upon the peculiarities of a particular site or circumstance, existing business practices, or other factors that Franchisor deems to be important to the operation of any ELLA coffee house or the System. Franchisee shall have no recourse against Franchisor on account of any variation to any franchisee and shall not be entitled to require Franchisor to provide Franchisee with a like or similar variation hereunder.

According to Ella Cafe's 2024 Franchise Disclosure Document, Ella Cafe reserves the right to vary System Standards and the services and assistance provided to franchisees. This can be based on the specific characteristics of a location, particular circumstances, existing business practices, or any other factors that Ella Cafe considers important for the operation of an Ella Cafe coffee house or the overall System.
Ella Cafe also has the right to vary standards or specifications for any franchisee based upon that particular franchisee's qualifications, the peculiarities of the particular site or circumstances, the demographics of the trade area, business potential, existing business practices or any other condition which Ella Cafe deems to be of importance to the successful operation of any particular Ella Coffee Company Franchise Business.
It is important to note that Ella Cafe is not obligated to offer the same variations to all franchisees. A franchisee will not have any recourse against Ella Cafe due to any variations granted to other franchisees and cannot demand similar variations for themselves. This allows Ella Cafe to adapt its franchise model to different market conditions and franchisee capabilities, but it also means that franchisees may not always be treated uniformly.
