What This Means (2024 FDD)

Based on the 2024 FDD, during the term of the Ella Cafe agreement, a developer is restricted from engaging in certain competitive activities within a specific radius of an Ella Cafe location. Specifically, the developer cannot own, maintain, or be involved with any casual, fast-casual, or quick-service coffee house, retail Coffee House, coffee/food truck, kiosk, cart, or store inside store of any type, that offers coffee and/or assorted café items as a primary menu item or that derives more than 25% of its revenue from the sale of coffee and/or assorted café items within a five-mile radius of any Ella Cafe Coffee House.

This restriction aims to prevent direct competition with existing Ella Cafe franchises. The clause specifies that the prohibition extends to various types of establishments that sell coffee and related items as a primary part of their business. The revenue threshold (more than 25% of revenue from coffee/café items) ensures that the restriction targets businesses that are substantially similar to Ella Cafe.

This non-compete clause is a standard practice in franchising to protect the brand and the investment of other franchisees. It prevents a developer from leveraging the knowledge and experience gained from the Ella Cafe system to directly compete against the franchise. The five-mile radius is a defined geographical boundary within which the restriction applies, providing clarity for the developer. Prospective franchisees should carefully consider the implications of this restriction, especially if they have existing business interests in the coffee or café sector.
