l, lodging, meal, and other out-of-pocket expenses for its personals for attending the training. Franchisor reserves the right to vary the length and content of the initial training program based on the experience and skill level of any individual attending the program.
- 5.3. Opening Assistance. In conjunction with the beginning of operation of the Franchised Business, Franchisor shall make available to Franchisee, at Franchisor's expense, one of Franchisor's representatives in person or virtual at sole discretion of the Franchisor, experienced in the System, for the purpose of familiarizing Franchisee's staff with the ELLA Coffee House techniques and for the purpose of providing general assistance and guidance in connection with the opening of the Franchised Business. If Franchisee requests additional assistance with respect to the opening or continued operation of the Franchised Business, and should Franchisor deem it necessary and appropriate in its sole discretion, Franchisee shall pay Franchisor's then-current standard rates, plus expenses, for such additional assistance.
5.4. Additional and/or Remedial Training.

Franchisee will cause its Principal Executive, and other employees that Franchisor designates to attend such additional courses, seminars, and other training programs which may be offered in various formats, including but not limited to, third-party providers, online training, regional meetings or seminars, traditional classroom training, and programs offered at Franchisor's Conference.

Based on the 2024 Franchise Disclosure Document, Ella Cafe provides initial training to familiarize the franchisee's staff with the brand's techniques. Specifically, Ella Cafe will make available one of its representatives, either in person or virtually, at its discretion, to assist with the opening of the franchised business. The purpose of this is to familiarize the franchisee's staff with Ella Cafe's techniques and provide general assistance and guidance.
If the franchisee requires additional support beyond the initial opening, Ella Cafe may provide further assistance at its discretion. However, this additional assistance will be at the franchisee's expense, based on Ella Cafe's then-current standard rates plus expenses. The franchisee is also responsible for all costs associated with the initial training, including wages, travel, lodging, and dining for their employees.
Furthermore, a Guarantor, as part of their agreement, must disclose confidential information only to employees to the extent necessary for business operations. The Guarantor must also adhere to security procedures for maintaining confidentiality and exercise diligence in protecting confidential information during and after the franchise term. This includes not using the information in any other business or manner not approved by Ella Cafe and promptly reporting any unauthorized disclosure.
