What This Means (2024 FDD)
According to Ella Cafe's 2024 Franchise Disclosure Document, if a court finds any portion of the non-compete covenants to be unenforceable or unreasonable, the parties intend for the court to modify the restriction. This modification would only occur to the extent reasonably necessary to protect Ella Coffee Company's legitimate business interests.
This means that Ella Cafe cannot unilaterally reduce the scope of the non-compete agreement without a court's involvement. The court would need to determine that the existing restrictions are unenforceable or unreasonable before any modification can occur. The modification would be limited to what is deemed reasonably necessary to protect Ella Cafe's business interests.
For a prospective franchisee, this clause offers a degree of protection against overly broad non-compete restrictions. If a franchisee believes the non-compete terms are unreasonable, they can challenge them in court. The court then has the power to modify the terms to be more reasonable, but only to the extent necessary to protect Ella Cafe's legitimate business interests. This ensures a balance between protecting the franchisor's business and allowing the franchisee to pursue other opportunities after the franchise agreement ends.
