I understand that were it not for this Personal Guaranty ("Guaranty"), Franchisor would not have agreed to enter into the Development Agreement with Developer.
I will comply with all of the provisions contained in Section 6 of the Development Agreement concerning the use of the Confidential Information.
I will maintain the confidentiality of all Confidential Information disclosed to me.
I agree to use the Confidential Information only for the purposes authorized under the Development Agreement.
I further agree not to disclose any of the Confidential Information, except: (a) to Developer's employees on a need-to-know basis; (b) to Developer's and my legal and tax professionals to the extent necessary for me to meet my legal obligations; and (c) as otherwise may be required by law.
I will comply with all of the provisions contained in Section 8. of the Development Agreement concerning the transfer of my interest in the Development Agreement and/or in Developer.
While I am an Owner of Developer and, for a two-year period after I cease to be an Owner (or two years after termination or expiration of the Development Agreement, whichever occurs first), I will not:
(a) Divert or attempt to divert any present or prospective customer of a Coffee House to any competitor, by direct or indirect inducement or otherwise, or do or perform, directly or indirectly, any other act injurious or prejudicial to the goodwill associated with the Marks and the System;
(b) Directly or indirectly employ, or seek to employ, any person who is or has been within the previous 120 days employed by Franchisor or an Affiliate of Franchisor, or otherwise directly or indirectly induce such person to leave his or her employment, unless such employee has obtained written consent from Franchisor or its Affiliate, as applicable, that the employee may be hired; or

According to Ella Cafe's 2024 Franchise Disclosure Document, the Personal Guaranty is required because the franchisor, Ella Coffee Company, LLC, would not have agreed to enter into the Development Agreement with the developer without it. Even after ceasing to be an owner, they are subject to certain restrictions for a two-year period. These restrictions include not diverting customers to competitors, not employing or soliciting employees of Ella Cafe or its affiliates without written consent. These measures protect Ella Cafe's business interests and goodwill by preventing unfair competition from former owners.
