How can either party change their address for receiving notices and other communications related to the Ella Cafe franchise agreement?
Ella_Cafe Franchise · 2024 FDDAnswer from 2024 FDD Document
I agree that any notices required to be delivered to me will be deemed conclusively made (a) at the time of delivery, if personal delivery is used; (b) 24 hours (exclusive of weekends and national holidays) after deposit in the United States mail, properly addressed and postage prepaid, if delivered by overnight delivery; and/or (c) upon the earlier of actual receipt or three calendar days after deposit in the United States mail, properly addressed and postage prepaid, return receipt requested, if served by certified mail. Notices and demands will be given to the respective parties at the addresses set forth in the signature blocks below, unless and until a different address has been designated by written notice to Franchisor. I may change this address only by delivering to Franchisor written notice of the change.

What This Means (2024 FDD)
According to the 2024 Ella Cafe Franchise Disclosure Document, any notices or demands will be delivered to the addresses in the signature blocks of the agreement. However, either party can change their address by providing written notice to the other party.
For Ella Cafe, this means they must maintain accurate records of franchisee addresses to ensure important communications reach the intended recipients. For franchisees, it's crucial to promptly notify Ella Cafe in writing of any address changes to avoid missing critical notices related to the franchise agreement.
The FDD specifies how notices are deemed delivered: immediately for personal delivery, 24 hours after deposit for overnight delivery (excluding weekends and holidays), and upon actual receipt or three days after deposit for certified mail with return receipt requested. This ensures clarity and documentation of when notices are officially considered received.
