What This Means (2024 FDD)
According to Ella Cafe's 2024 Franchise Disclosure Document, if a franchisee notices an apparent infringement of the brand's marks, they must immediately notify Ella Cafe. The franchisee and owners are only allowed to communicate about the infringement with Ella Cafe, their affiliates, their counsel, and the franchisee's counsel. This restriction ensures that Ella Cafe maintains control over how potential infringements are addressed and that legal strategies are consistent.
This requirement is typical in franchising, as franchisors need to protect their trademarks and brand identity. By centralizing communication and control, Ella Cafe can ensure that any legal actions are handled effectively and in a way that protects the overall brand. Franchisees are not permitted to take independent action or communicate with outside parties without Ella Cafe's involvement.
The franchisee's role is primarily to report the issue, while Ella Cafe takes responsibility for investigating and addressing the infringement. This division of responsibility protects the franchisee from potential legal complications and ensures that Ella Cafe can manage the situation strategically. Franchisees should ensure they have clear channels of communication with Ella Cafe to report any potential infringements promptly.
