Can Ella Cafe operate Coffee Houses in Reserved Areas within the Development Area?

AGREE THAT IN THE EVENT OF A DISPUTE BETWEEN THEM EACH SHALL BE LIMITED TO THE RECOVERY OF ANY ACTUAL DAMAGES SUSTAINED BY IT.
- 14.4. Limitations Period. Neither Developer nor any Owner will assert any claim or cause of action against Franchisor or its officers, directors, shareholders, employees, or affiliates after two years following the event giving rise to such claim or cause of action.
- 14.5. Attorneys' Fees. If either party commences a legal action against the other party arising out of or in connection with this Agreement, the prevailing party will be entitled to have and recover from the other party its reasonable attorneys' fees and costs of suit.
Intending to be legally bound, each of the parties hereto has caused this Agreement to be executed by its duly authorized representative as of the Effective Date.

According to Ella Cafe's 2024 Franchise Disclosure Document, the franchisor and its affiliates retain specific rights within the development area, including the right to operate or license others to operate coffee houses in reserved areas, even if those reserved areas are located within the development area granted to the developer. This means that while a developer is granted rights to establish Ella Cafe locations within a defined development area, the franchisor maintains the right to operate or authorize others to operate coffee houses, including different models, within reserved areas inside or outside the development area.
This retained right extends to various business formats beyond traditional Ella Cafe coffee houses. The franchisor can operate or license other entities to run coffee houses, ghost kitchens, or other food service businesses utilizing trademarks other than Ella Cafe within these reserved areas, irrespective of whether they fall inside or outside the designated development area. Furthermore, Ella Cafe retains the right to engage in the production, distribution, licensing, and sale of food, beverages, and other services and products under the Ella Cafe marks or other names through any method of distribution other than a traditional Ella Cafe coffee house.
This includes sales through vending machines, kiosks, food trucks, grocery stores, other food retailers, mail order catalogs, and the Internet, regardless of their proximity to or competitive impact on the coffee houses developed by the developer in the development area. This broad reservation of rights has significant implications for a prospective Ella Cafe developer. While the developer is granted a specific area for development, Ella Cafe retains considerable freedom to operate or license competing business models and sales channels within and around that area.
Therefore, a developer's success is not solely dependent on the traditional coffee house model but is also subject to Ella Cafe's decisions regarding alternative distribution methods and business formats within the reserved areas. This could potentially lead to increased competition and reduced market share for the developer's franchised locations.
