  • 14.4. Limitations Period. Neither Developer nor any Owner will assert any claim or cause of action against Franchisor or its officers, directors, shareholders, employees, or affiliates after two years following the event giving rise to such claim or cause of action.
  • 14.5. Attorneys' Fees. If either party commences a legal action against the other party arising out of or in connection with this Agreement, the prevailing party will be entitled to have and recover from the other party its reasonable attorneys' fees and costs of suit.

impact on, Coffee Houses developed by Franchisee. The Franchisor shall operate or license others
to operate a Ghost Kitchen inside of the Designated Area or Reserved Area with Franchisee’s prior
written consent; however, if such a Ghost Kitchen exists in the Designated Area or Reserved Area
at the time of execution of this Agreement, then Franchisee’s consent is deemed to have been
provided and cannot be revoked.

This broad reservation of rights has significant implications for a prospective Ella Cafe developer. While the developer is granted a specific area for development, Ella Cafe retains considerable freedom to operate or license competing business models and sales channels within and around that area.

Therefore, a developer's success is not solely dependent on the traditional coffee house model but is also subject to Ella Cafe's decisions regarding alternative distribution methods and business formats within the reserved areas. This could potentially lead to increased competition and reduced market share for the developer's franchised locations.
