What This Means (2024 FDD)

According to Ella Cafe's 2024 Franchise Disclosure Document, Item 8 outlines the restrictions on sources of products and services. As an Ella Cafe franchisee, you are required to purchase certain items from Ella Cafe or their designated third-party suppliers. This includes furniture, fixtures, equipment, computer systems, hardware, software, and other electronic systems necessary for operating the franchised business.

Specifically, the FDD notes that ongoing inventory bearing the Ella Cafe mark must be purchased from Ella Cafe or its affiliate. Other initial and ongoing inventory must conform to Ella Cafe's specifications and be purchased from designated or approved vendors. The FDD estimates that required purchases and leases to establish the business account for 40% to 70% of the total, and the same percentage applies to ongoing operations.

Ella Cafe may negotiate prices and terms with vendors on behalf of the entire franchise system and may receive rebates, payments, or other considerations from vendors based on franchisee purchases. Ella Cafe has the right to collect payments from franchisees on behalf of a vendor and remit those payments, potentially imposing a markup for administering the payment program. They may also implement a centralized purchasing system or establish a purchasing cooperative that franchisees are required to join.
