What This Means (2024 FDD)

According to Ella Cafe's 2024 Franchise Disclosure Document, Ella Cafe itself does not have an obligation to cure a franchisee's breach of the franchise agreement. However, a franchisee may terminate the agreement if Ella Cafe violates a material provision and fails to cure or make substantial progress toward curing the violation within 30 days of written notice from the franchisee.

Conversely, Ella Cafe has the right to terminate the franchise agreement if the franchisee fails to cure certain defaults after receiving written notice. The cure periods vary depending on the nature of the default. For instance, a franchisee has 10 days to cure defaults related to insurance, payments owed to Ella Cafe or its creditors, misuse of trademarks, or issues with product quality. For other curable defaults, the franchisee typically has 30 days to remedy the situation.

Additionally, if a franchisee defaults under any agreement with Ella Cafe or its affiliates and fails to cure it within the applicable cure period, it will be considered a default under the franchise agreement, providing an independent basis for termination. Ella Cafe also has the option to require the Coffee House to close during any cure period relating to a default based on public health and safety concerns. These stipulations highlight the importance of franchisees maintaining compliance with all agreements and standards to avoid potential termination of their franchise agreement.
