Protection of Rights
We are not obligated to protect your rights to use the Marks or to protect you against claims of infringement or unfair competition. However, we may at our sole discretion protect your right to use the principal trademarks listed in this Item, and we protect you against claims of infringement or unfair competition arising out of your use of the trademarks, to the extent described in this section.
You must immediately notify us of any infringement of the Marks or of any challenge to the use of any of the Marks or claim by any person of any rights in any of the Marks. You and your Principals must agree not to communicate with any person other than us, any designated affiliate, and our or their counsel about any infringement, challenge, or claim. We, or our affiliates, have sole discretion to take any action we deem appropriate and the right to exclusively control any litigation or Patent and Trademark Office (or other) proceeding from any infringement, challenge, or claim concerning any of the Marks. You must execute all instruments and documents and give us any assistance that, in our counsel's or our affiliates' counsel's opinion, may be necessary or advisable to protect and maintain our interests or those of our affiliates in any litigation or proceeding or to otherwise protect and maintain our or their interest in the Marks.
You may use only the Marks that we designate, must use them only in the manner that we authorize and permit, and must use them with the symbols, "®", "™", or "SM", as appropriate. You may use the Marks only in connection with the operation and promotion of the Franchised Business, and only in the manner we prescribe. You may not use the Marks or any part of the Marks in your corporate name, and may not use them to incur any obligation or indebtedness on our behalf.

What This Means (2024 FDD)
According to Ella Cafe's 2024 Franchise Disclosure Document, Ella Cafe is not obligated to protect a franchisee's rights to use their trademarks or protect them against claims of infringement or unfair competition. However, Ella Cafe may, at its sole discretion, protect a franchisee's right to use the principal trademarks.
In the event of any trademark infringement or challenges to the use of the marks, the franchisee must immediately notify Ella Cafe. The franchisee is not allowed to communicate with anyone other than Ella Cafe, its affiliates, or their counsel regarding the infringement, challenge, or claim. Ella Cafe has the sole discretion to take any action it deems appropriate and has the right to exclusively control any litigation. The franchisee must also execute all documents and provide any assistance necessary to protect Ella Cafe's interests in any litigation.
If a franchisee uses Ella Cafe's trademarks in accordance with the franchise agreement, then at Ella Cafe's discretion, they may defend the franchisee (at their expense) against any legal action by a third party alleging infringement. Ella Cafe may also indemnify the franchisee for expenses and damages if the legal action is resolved unfavorably to them. If necessary, Ella Cafe may discontinue, modify, or substitute the franchisee's use of any mark, which the franchisee must comply with at their own expense.
