What This Means (2024 FDD)

According to Ella Cafe's 2024 Franchise Disclosure Document, Ella Cafe is not obligated to assist franchisees in locating a site or negotiating the purchase or lease of a site. However, Ella Cafe will review and approve or disapprove potential locations submitted by the franchisee. If a franchisee signs a Multi-Unit Development Agreement, Ella Cafe will approve the location of future sites and territories for those sites, applying their then-current standards for sites and territories.

If the site is not already known and approved when the franchise agreement is signed, Ella Cafe and the franchisee will specify a Site Selection Area within which the franchisee must identify a site. The final site selection is subject to Ella Cafe's approval, for which the franchisee must provide all required information and documents. While Ella Cafe will not unreasonably withhold approval, the agreement may be terminated if a location cannot be agreed upon. In the event of termination, the franchisee will not be entitled to a refund of the initial franchise fee or other amounts paid.

Ella Cafe considers factors such as general location, neighborhood, competition, trade area demographics, traffic patterns, parking, size, physical characteristics of existing buildings, and lease terms when approving sites. Failure to identify an acceptable site and open the franchise by the Opening Date may result in default and termination of the franchise agreement, unless an extension is agreed upon in writing. The time limit for Ella Cafe to approve or disapprove a proposed site is 30 days after the franchisee submits all required documents and information.

Ultimately, it is the franchisee's responsibility to conform the premises to local ordinances and building codes and to obtain any required permits. If the Coffee House occupies a space under a commercial lease, the lease must contain terms specified in Ella Cafe's Lease Rider.
