What This Means (2024 FDD)
According to Ella Cafe's 2024 Franchise Disclosure Document, Ella Cafe can assign or transfer its rights and obligations under the franchise agreement without the franchisee's approval or prior notice. However, there is a condition: the buyer, assignee, or transferee must agree in writing to assume all of Ella Cafe's obligations under the agreement.
This clause protects Ella Cafe by allowing it to transfer its obligations to another party without needing the franchisee's consent. However, the requirement that the new party assumes all obligations ensures that the franchisee's rights are maintained under the agreement. This is a fairly standard practice in franchising, as it allows the franchisor flexibility in structuring its business while providing some security to franchisees.
It is important to note that Ella Cafe and its 'Indemnitees' will not be liable for obligations of the transferee arising after the date of transfer. This means that once the transfer is complete, the franchisee must look to the new entity for any issues arising after the transfer date, releasing Ella Cafe from those responsibilities.
