All of the information we or our affiliates obtain from you or about your Franchised Business, and all information in your records or our concerning the members of your Franchised Business ("the Information") and all revenues we derive from the Information will be our property. However, you may at any time during the term of your franchise agreement, use in the operation of your Franchised Business (but for no other purpose), to the extent lawful and at your sole risk and responsibility, any information that you acquire from third parties in operating your Franchised Business, such as customer data. The information (except for information you provide to us or our affiliates with respect to you and your affiliates, including your respective officers, directors, shareholders, partners or equity members of your entity) will become our property which we may use for any reason as we deem necessary or appropriate in our discretion. You hereby authorize your payment processor to release the information to us at any time. Following termination or expiration of this Agreement you will no longer use any of the Information, except to comply with your post-term obligations under this Agreement and you authorize your payment processor to release the Information exclusively to us and/or our designees

What This Means (2024 FDD)
According to Ella Cafe's 2024 Franchise Disclosure Document, all information obtained from the franchisee or about the franchised business, including information in the franchisee's records or concerning members of the franchised business, becomes the property of Ella Cafe. Additionally, all revenues derived from this information will be the property of Ella Cafe. This includes data generated or stored in the point-of-sale (POS) and CRM systems, such as sales data and customer information.
Ella Cafe has the right to use this information for any reason they deem necessary or appropriate. The franchisee authorizes their payment processor to release this information to Ella Cafe at any time. Upon termination or expiration of the franchise agreement, the franchisee must cease using the information, except to comply with post-term obligations, and must ensure the payment processor releases the information exclusively to Ella Cafe or their designees.
This arrangement gives Ella Cafe broad control over the data generated by the franchisee's operations. While the franchisee can use information acquired from third parties, such as customer data, during the franchise term for their business operations, they do so at their own risk and responsibility. The franchisee must also grant Ella Cafe independent access to the information generated or stored in their systems, including sales, customer data, and reports, without any contractual limitations on Ella Cafe's access rights.
For a prospective franchisee, this means that the data generated by their Ella Cafe business is not theirs to control or monetize. Ella Cafe can use this data for its own purposes, which may include marketing, analytics, or other business strategies.
