What This Means (2024 FDD)
According to Ella Cafe's 2024 Franchise Disclosure Document, if you are an individual developer, you may transfer your interest in the Franchise Agreement to a business entity for operational convenience under specific conditions. First, the business entity must be formed solely for developing and/or operating Ella Cafe locations. You must provide Ella Cafe with a copy of the business entity's formation and governing documents, along with a certificate of good standing from the relevant jurisdiction.
Additionally, you and your affiliates must be in compliance with the Franchise Agreement and all other agreements with Ella Cafe or its affiliates. You are also required to sign Ella Cafe's form of assignment and assumption agreement. Finally, you must pay Ella Cafe its reasonable attorneys' fees incurred to document the transfer and execute a general release of claims against Ella Cafe and its affiliates. This release must be in a form satisfactory to Ella Cafe and consistent with state franchising laws.
This provision allows individual developers some flexibility in structuring their business, but it also ensures that Ella Cafe maintains control over who is developing and operating its franchises. The conditions are designed to protect Ella Cafe's interests and ensure that the business entity is a suitable franchisee. A prospective franchisee should carefully consider these conditions and consult with an attorney or business advisor before making any decisions about transferring their interest in the Franchise Agreement.
