If items and services meet Ella Cafe's specifications, can franchisees purchase them from any supplier?

According to Ella Cafe's 2024 Franchise Disclosure Document, franchisees can purchase items and services from any supplier if Ella Cafe has not identified approved suppliers for those items and services, provided that the items and services meet Ella Cafe's specifications. These specifications may include brand requirements, and if such requirements exist, franchisees must purchase and use only approved brands.

However, Ella Cafe franchisees must purchase specific items from Ella Cafe or its designated suppliers. These include computer hardware and software, uniforms, shirts, memorabilia, merchandise intended for retail sale, POS systems, CRM systems, marketing operating systems, sales metrics software, inventory control systems, and music systems. The initial vehicle used in the operation of the franchised business must be leased or purchased from Ella Cafe's designated or approved supplier.

If a franchisee wants to purchase items from an unapproved source for which Ella Cafe has identified approved suppliers, they must request written approval from Ella Cafe. Ella Cafe will grant or revoke approvals based on criteria such as the supplier's capacity, quality, financial stability, reputation, and reliability, as well as inspections, product testing, and performance reviews. Ella Cafe will provide written notification of approval or disapproval within 30 days after receiving the request.

Ella Cafe also issues specifications and standards for applicable aspects of the franchise in its manual and written directives, and may modify these at any time. Franchisees are required to use the credit card processing service that Ella Cafe approves and must comply with payment card industry and government requirements. Additionally, if Ella Cafe negotiates a purchase agreement for the region where the Coffee House is located, franchisees must participate in the purchasing program.
