What This Means (2024 FDD)

According to Ella Cafe's 2024 Franchise Disclosure Document, if Ella Cafe assigns its rights and obligations under the Franchise Agreement, Ella Cafe and its representatives will not be responsible for the obligations of the new owner (the transferee) after the transfer date. However, for Ella Cafe to assign these rights and obligations, the new owner must agree in writing to take on all of Ella Cafe's responsibilities under the Franchise Agreement.

This clause protects Ella Cafe from being held liable for any actions or inactions of the new owner after the franchise has been transferred. It ensures that the new franchisee is fully responsible for operating the Ella Cafe location according to the franchise agreement terms.

For a prospective franchisee, this means that Ella Cafe can sell or transfer its rights and obligations to another party without needing the franchisee's approval or even prior notice, as long as the new party agrees to take on those obligations. It is a fairly standard clause in franchise agreements, allowing the franchisor flexibility in managing its business operations and potentially selling the franchise system.
