What This Means (2024 FDD)
According to Ella Cafe's 2024 Franchise Disclosure Document, each owner must execute the Personal Guaranty attached as Attachment C. Should an owner fail or refuse to do so, it will constitute a breach of the Development Agreement. Furthermore, the developer and each owner will be jointly and severally liable for each other's obligations under the Development Agreement and the Personal Guaranty.
In practical terms, this means that if a prospective Ella Cafe franchisee has multiple owners, all owners must sign the Personal Guaranty. If even one owner fails to sign, it is considered a breach of contract. This requirement ensures that Ella Cafe has recourse to pursue any of the owners personally for the financial and operational obligations of the franchise.
The joint and several liability clause means that Ella Cafe can pursue any one owner for the full amount of any debt or obligation, regardless of their individual stake in the business. This is a significant risk for owners, as they could be held responsible for the actions or inactions of their co-owners. Franchisees should carefully consider the implications of the Personal Guaranty and joint and several liability before entering into a franchise agreement with Ella Cafe.
Personal guarantees are standard practice in the franchise industry, especially for new or smaller franchise systems. They provide the franchisor with an added layer of financial security, ensuring that franchisees are fully committed to the business and are personally liable for its debts and obligations. Prospective franchisees should seek legal counsel to fully understand the implications of signing a personal guarantee.
