What happens to Attachment 2 upon the Ella Cafe Franchisor's approval of the Location?

According to Ella Cafe's 2024 Franchise Disclosure Document, Attachment 2 is amended upon the franchisee's acquisition of the location for the coffee house. Specifically, Ella Cafe will update Attachment 2 to include the location and a description of the designated area surrounding it. Alternatively, this information may be documented in another written form, signed by both Ella Cafe and the franchisee.

This amendment to Attachment 2 or the separate written communication is significant because it defines the franchisee's designated area. As long as the franchisee complies with the franchise agreement and other agreements with Ella Cafe, neither Ella Cafe nor its affiliates will establish or authorize another party to establish a coffee house of the same model within the franchisee's designated area during the term of the agreement. This grants the franchisee a degree of territorial protection, which is a common feature in franchise agreements.

However, the agreement also stipulates that Ella Cafe retains certain rights within the designated area. Ella Cafe can develop or authorize others to develop and operate an Ella Coffee House in a Reserved Area within the Designated Area. Furthermore, Ella Cafe can sell products and services authorized for sale at Ella Coffee House, as well as other products and services, under the Ella Cafe marks through dissimilar channels, such as grocery stores, food trucks, the internet, or kiosks. This means that while the franchisee has some territorial protection, Ella Cafe can still operate or license others to operate in the same area through different channels, which could potentially impact the franchisee's business.
