What This Means (2024 FDD)
According to Ella Cafe's 2024 Franchise Disclosure Document, the franchisor retains specific rights within and outside a franchisee's designated area. One of these rights allows Ella Cafe to advertise and promote the System within a franchisee's Designated Area. This means that even though a franchisee is granted a specific territory, Ella Cafe can still conduct marketing and promotional activities within that area to further the brand's reach.
This provision has important implications for prospective franchisees. While a Designated Area provides a location for the franchisee's Ella Cafe business, it does not grant exclusive marketing rights. The franchisee may find themselves competing with the franchisor's own advertising efforts within their territory. This could potentially impact the franchisee's ability to attract customers, as they may be influenced by the franchisor's broader marketing campaigns.
Furthermore, Ella Cafe also retains the right to operate and license others to operate Ella Coffee Houses in any Reserved Area, whether located inside or outside the Designated Area. Reserved Areas include locations such as shopping malls, airports, hospitals, and college campuses. The combination of the franchisor's right to advertise in the Designated Area and operate in Reserved Areas means that a franchisee's territory is not fully protected from competition or marketing efforts initiated by Ella Cafe itself. Franchisees should consider these factors when evaluating the potential market and revenue within their Designated Area.
