herwise protect and maintain our or their interest in the Marks.
You may use only the Marks that we designate, must use them only in the manner that we authorize and permit, and must use them with the symbols, "®", "™", or "SM", as appropriate. You may use the Marks only in connection with the operation and promotion of the Franchised Business, and only in the manner we prescribe. You may not use the Marks or any part of the Marks in your corporate name, and may not use them to incur any obligation or indebtedness on our behalf. You must also follow our instructions for identifying yourself as a franchisee and for filing and maintaining the requisite trade name or fictitious name registrations. You must execute any documents we or our counsel determine are necessary to obtain protection for the Marks or to maintain their continued validity and enforceability. Neither you nor your Principals may take any action that would prejudice or interfere with the validity of our rights with respect to the Marks and may not contest the validity of our interest in the Marks or assist others to do so.
You may not use the Marks or any part or derivative of the Mark on the Internet, except as expressly permitted in writing. This prohibition includes use of the Marks or any derivative of the Marks as part of any URL or domain name, including but not limited to any gaming Website, social networking Website, or marketing/discounting Website; as part of any user name; or as part of any unauthorized email address.
We have the right to substitute different trade names, service marks, trademarks, and indicia of origin for the Marks if the Marks can no longer be used, or if we determine, in our sole discretion, that the substitution will be beneficial to the System. If we do, we may require you to discontinue or modify your use of any Mark or use one or more additional or substitute Marks at your expense.
If you use our trademarks in accordance with the franchise agreement, then at our discretion (i) we may defend you (at our expense) against any legal action by a third-party alleging infringement by your use of the trademark, (ii) indemnify you for expenses and damages if the legal action is resolved unfavorably to you or (iii)if necessary in our sole discretion, discontinue, modify, or substitute your use of any Mark which you must comply with at your own expense.
ITEM 14 PATENTS, COPYRIGHTS AND PROPRIETARY INFORMATION
Patents
We do not own rights in, or licenses to, patents that are material to the franchise. We do not have any pending patent applications.
Copyrights
All of our original works of authorship fixed in a tangible medium of expression are automatically protected under the U.S. Copyright Act, whether or not we have obtained registrations. This includes our Operating Manual as well as all other sales, training, management and other materials that we have created or will create.

What This Means (2024 FDD)
According to Ella Cafe's 2024 Franchise Disclosure Document, franchisees must adhere to specific guidelines when using the brand's trademarks. Ella Cafe designates which marks franchisees can use and specifies the manner in which they must be used, including the appropriate symbols (®/™/SM). Franchisees are only allowed to use the marks in connection with the operation and promotion of their franchised business, following Ella Cafe's prescribed methods. They cannot incorporate the marks into their corporate name or use them to incur obligations on behalf of Ella Cafe. Franchisees must also adhere to Ella Cafe's instructions for identifying themselves as franchisees and for maintaining trade name or fictitious name registrations.
Ella Cafe franchisees are restricted from using the marks or any derivatives on the Internet, unless expressly permitted in writing. This includes using the marks in URLs, domain names, usernames, or unauthorized email addresses. Ella Cafe retains the right to substitute different trademarks if the current ones become unusable or if the substitution benefits the system. In such cases, franchisees may be required to discontinue or modify their use of certain marks at their own expense.
It is the franchisee's responsibility to immediately inform Ella Cafe of any trademark infringements, challenges, or claims related to the marks. Franchisees must not communicate with anyone other than Ella Cafe, its affiliates, or their counsel regarding these issues. Ella Cafe has the sole discretion to take appropriate action and control any litigation concerning the marks. Franchisees are required to assist in protecting the marks by executing necessary documents and providing assistance as requested by Ella Cafe's counsel. Franchisees must not take any actions that could harm the validity of Ella Cafe's rights to the marks or contest the validity of Ella Cafe's interest in them.
