ARTICLE 2. GRANT OF LICENSE

  • 2.1 Grant. Franchisor hereby grants Franchisee the right to develop and continuously operate a Coffee House at the Location identified in Attachment 2, to deliver authorized products to locations in accordance with the Standards (which may include distance or area restrictions), and to use the Marks in the operation and promotion of the Coffee House. If no Location is stated on when this Agreement is signed, then the parties will determine the Location in accordance with Section 6.1. Franchisee hereby undertakes the obligation and agrees to continually operate the Coffee House during the Term hereof and strictly according to the terms and conditions of this Agreement. This Agreement does not grant Franchise any right, among others: (a) to sublicense the use of the System or Marks; (b) to co-brand with another concept or brand; (c) to offer or sell products or services at or from any location other than the Franchised Location (such as from a cart, kiosk, or food truck); (d) to ship ELLA products, regardless of the destination; or (e) distribute ELLA products through other channels, such as supermarkets, convenience stores or other retailers, or other food service providers.

What This Means (2024 FDD)

According to Ella Cafe's 2024 Franchise Disclosure Document, franchisees are granted the right to use the brand's Marks in the operation and promotion of their Coffee House. However, this right is specifically tied to operating and promoting the Coffee House and is subject to certain limitations and guidelines set by Ella Cafe. The Marks include trade names, service marks, trademarks, logos, emblems, and indicia of origin, such as "ELLA", "ELLA COFFE HOUSE", and "ELLA COFFEE".

Ella Cafe franchisees must use the Marks only in the manner prescribed by the company and cannot allow others to use them in conjunction with selling the Coffee House or its assets, or in advertisements seeking to sell the business or source loans/investors, with such advertisements only describing the Coffee House in general terms. Franchisees also agree not to contest the ownership or validity of the Marks and must execute documents to protect them. They are restricted from using the Marks in their corporate name or to incur obligations on Ella Cafe's behalf.

Furthermore, franchisees face restrictions on using the Marks or copyrighted works on the Internet, including in domain names, URLs, usernames, email addresses, or unauthorized apps, unless expressly permitted in writing by Ella Cafe. Franchisees must identify themselves as independent franchise owners in conjunction with any use of the Marks and must notify Ella Cafe immediately of any apparent infringement or challenge to the use of any Mark. Upon termination or expiration of the franchise agreement, franchisees must cease doing business under the Marks and "de-identify" the location, removing all Marks and trade dress of an Ella Coffee House business.
