You are not restricted from soliciting or accepting orders from consumers outside of your Designated Area with our prior written consent, except with respect to Reserved Areas and the channels of distribution described below, or if we limit the area in which you can provide catering services.

What This Means (2024 FDD)
According to Ella Cafe's 2024 Franchise Disclosure Document, franchisees are generally not restricted from soliciting or accepting orders from consumers outside their Designated Area, provided they obtain prior written consent from Ella Cafe. However, this permission is not absolute.
Ella Cafe maintains exceptions to this general allowance. Franchisees are restricted from soliciting or accepting orders from consumers with respect to Reserved Areas and alternate channels of distribution. Additionally, Ella Cafe may limit the area in which a franchisee can provide catering services.
Ella Cafe also reserves the right to terminate the permission to solicit or accept orders from outside the territory with written notice. Furthermore, Ella Cafe retains control over all internet-based marketing, which could impact a franchisee's ability to reach customers outside their Designated Area. These stipulations give Ella Cafe considerable control over where a franchisee can seek business, even outside of their primary territory.
