Is the Ella Cafe franchisee required to protect the confidentiality of the Operating Manual and other proprietary information?

According to Ella Cafe's 2024 Franchise Disclosure Document, franchisees (and their owners, if the franchise is owned by an entity) must protect the confidentiality of the Operating Manual and other proprietary information. They are obligated to use this confidential information solely for the operation of their franchised Ella Cafe business.

Ella Cafe may also require the franchisee's managers and key employees to sign confidentiality agreements, ensuring a broader scope of protection for the brand's sensitive information. This is a common practice in franchising to safeguard trade secrets and operational methods.

Furthermore, the confidentiality obligations extend beyond just the franchisee and their employees. The Guarantor, as stated in the FDD, must also adhere to security procedures for maintaining confidentiality, disclose information only to employees on a need-to-know basis, and refrain from using the information in any unauthorized manner. The Guarantor must also exercise diligence in maintaining confidentiality during and after the franchise agreement and promptly report any unauthorized disclosure. This obligation survives the termination or expiration of the Franchise Agreement indefinitely.

The FDD also defines 'Confidential Information' as any and all manuals, trade secrets, copyrighted materials, methods, information, knowledge, know-how, and techniques which Ella Cafe specifically designates as confidential. This information is disclosed to the franchisee for use in the development of the Franchised Business, and its use or duplication outside the Ella Cafe system would constitute unfair competition.
