What This Means (2024 FDD)
According to Ella Cafe's 2024 Franchise Disclosure Document, a franchisee is restricted in using the brand's Marks when selling their Coffee House. While franchisees can use the Marks for the operation and promotion of their coffee house as prescribed by Ella Cafe, they are explicitly prohibited from using the Marks in conjunction with selling the Coffee House or its assets.
This restriction extends to any advertisements or listings related to the sale of the Coffee House, meaning franchisees cannot use the Marks in any form of media to attract potential buyers or investors. Any advertisements must describe the Coffee House in general terms only, without using the protected Marks.
This policy is in place to protect Ella Cafe's brand identity and ensure consistent representation. Franchisees are also responsible for ensuring that any sales agents, brokers, or representatives they hire adhere to these restrictions. This prevents unauthorized use of the brand's Marks during the sale process, maintaining control over how the brand is presented to the public and potential buyers.
