What This Means (2024 FDD)
According to Ella Cafe's 2024 Franchise Disclosure Document, franchisees are generally restricted from using the brand's trademarks in domain names or URLs. Specifically, franchisees cannot use the Marks, derivatives, abbreviations, acronyms, or phonetic variations as part of any URL or domain name. This restriction extends to gaming, social networking, and marketing/discounting websites. Additionally, franchisees are prohibited from using the Marks in usernames, unauthorized email addresses, or unauthorized software applications.
This policy ensures that Ella Cafe maintains control over its brand identity and online presence. By preventing franchisees from using the Marks in domain names, the company can avoid potential confusion among customers and ensure consistent branding across all online platforms. This also allows Ella Cafe to manage its online reputation and marketing efforts more effectively.
However, Ella Cafe may create and license social media accounts, email marketing software accounts, and other electronic accounts that use the Marks for the franchisee's use. Franchisees are required to cooperate with Ella Cafe and actively participate in any social media and e-commerce advertising programs that Ella Cafe requires. Franchisees are not allowed to create websites, social media accounts, or email marketing software accounts outside of those licensed by Ella Cafe.
Upon termination or expiration of the franchise agreement, the franchisee must notify all relevant entities (telephone, internet, email, etc.) of the termination of their right to use any domain names associated with the Marks and authorize their transfer to Ella Cafe or a new franchisee. This further protects Ella Cafe's brand and ensures a smooth transition between franchisees.
