What This Means (2024 FDD)
According to Ella Cafe's 2024 Franchise Disclosure Document, franchisees are not permitted to sublicense the use of the Ella Cafe system or marks. The franchise agreement explicitly states that the grant of license to operate an Ella Cafe does not include the right to sublicense the use of the System or Marks.
This restriction means that an Ella Cafe franchisee cannot authorize another party to operate an Ella Cafe using the Ella Cafe system and trademarks under their franchise agreement. This is a standard provision in most franchise agreements, as the franchisor wants to maintain control over its brand and system standards.
This limitation ensures that Ella Cafe maintains consistent brand standards and quality control across all its locations. Allowing franchisees to sublicense could lead to inconsistencies and potential damage to the brand's reputation, which is why Ella Cafe retains this right exclusively.
