- "Copyrighted Works" means works of authorship which are owned by Franchisor and are fixed in a tangible medium of expression including, without limitation, the content of the Manual, the design elements of the Marks, Franchisor's recipes, menus, bulletins, correspondence and communications with its franchisees, training, advertising and promotional materials, and the content and design of Franchisor's Website.

According to Ella Cafe's 2024 Franchise Disclosure Document, 'Copyrighted Works' are works of authorship owned by the franchisor that are fixed in a tangible medium. These include, but are not limited to, the content of the Manual, the design elements of the Marks, Ella Cafe's recipes, menus, bulletins, correspondence and communications with its franchisees, training, advertising and promotional materials, and the content and design of Ella Cafe's Website.
This definition means that Ella Cafe retains ownership of all materials created for the franchise system. Franchisees are granted the right to use these materials within the scope of their franchise agreement, but they cannot reproduce, distribute, or modify them without permission. This protects Ella Cafe's brand identity and ensures consistency across all franchise locations.
The franchisor also has the right to sell or transfer the Copyrighted Works. The developer expressly waives any claims, demands, or damages arising from or related to the loss of Franchisor's name, the Marks (or any variation thereof), the Copyrighted Works, the System, and/or the loss of association with or identification of Ella Coffee Company, LLC as the franchisor under this Agreement.
